THIS AGREEMENT, hereinafter referred to as the “Agreement,” witnesses the terms and conditions as follows:

1. REFERRALS

Either party may, at their discretion, refer potential leads to the other party by completing and delivering a “Referral Form,” either online or via email, as mutually agreed upon. The Recipient agrees to confirm acceptance or decline of each lead within 7 days of receiving the lead from the Referrer. Furthermore, the Recipient shall promptly notify the Referrer upon the successful conversion of each lead.

2. REFERRAL FEE AND PAYMENT

Throughout the term of this Agreement, the Recipient shall remit a referral fee to the Referrer based on the professional fee generated from the introduction of leads. The referral fee may be calculated in two ways: a fixed rate of 20% of the professional fee for each successfully converted lead, or by allowing the Referrer to add a margin on the professional fee. The Recipient is obligated to provide the Referrer with a monthly calculation of the amount payable for customers referred under this Agreement. Payment of the accrued referral fee is due upon completion of the assignment.

3. COMMENCEMENT & TERMINATION

This Agreement shall commence on the effective date and will persist until the completion of the work or until terminated by mutual agreement or by either party with thirty (30) days’ notice.

4. CONFIDENTIALITY

Information disclosed by the Referrer concerning any prospective lead is considered confidential. The Recipient is bound not to disclose any such information to third parties without the prior consent of the Referrer or the lead (once successfully converted), except where required by law. Both parties agree not to disclose terms, conditions, or any acquired information concerning each other’s business or operations, except where compelled by applicable law or competent authority. Additionally, both parties agree not to entice or solicit clients referred by each other for a period of one year post-termination.

5. RELATIONSHIP

The relationship between the parties is that of independent associates. This referral agreement does not establish any employment, partnership, or joint venture relationship. Neither party has the authority to assume or create any obligations on behalf of the other. Consequently, the Referrer or Recipient shall not enter into agreements on behalf of each other and shall make no express or implied warranties nor incur any expenses.

6. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes all previous oral and written proposals, negotiations, representations, commitments, and communications. No release, discharge, or modification of this Agreement shall be valid unless made in writing and signed by both parties.

7. GOVERNING LAW

This agreement is governed and construed in accordance with the laws of the UAE. Any controversies, differences, or disputes arising out of or in connection with this agreement shall be resolved amicably between the authorized representatives of both parties. Failing resolution, such disputes shall be referred to the exclusive jurisdiction of the courts of Dubai.
